But what exactly is slander? And what is libel? Both are defined as a false statement made by one individual about another individual with the intent to harm defamed person's reputation in some way. The statement qualifies as slander if it is delivered verbally, whereas the statement is libel if it is published in some other way (for example by being written, or televised). To win a defamation case, you must generally act within 1 year of the defamation, and you need to prove to the court's satisfaction that:-&lt;br/&gt;&lt;br/&gt;* The statement harms your reputation (an insult, for example, wouldn't do it. Politicians, too, are essentially 'un-defamable' for this very reason).&lt;br/&gt;* A third party was involved. Saying it just to you doesn't count.&lt;br/&gt;* That third party could identify you from the statement (an anonymous statement isn't libelous).&lt;br/&gt;&lt;br/&gt;Additionally, in the opinion of counsel above and beyond advice available to www.lawyersbench.com , slander requires you to show that you have suffered either financial loss or that your business, trade or professional reputation was damaged, or that you have been accused of one or more of the following:-&lt;br/&gt;&lt;br/&gt;* Of having committed a criminal offence&lt;br/&gt;* Of having a contagious disease&lt;br/&gt;* Of immoral conduct (women only!)&lt;br/&gt;&lt;br/&gt;So what can you do if you think you have been slandered or libeled? There are several possible course of action beyond ignoring it and not drawing attention. First, you could demand an apology. If the statement really is defamatory, a lawyer's letter will usually do the trick. The second response might be to approach the professional body that regulates the channel thru which the defamation occurred (such as the Press Complaints Commission if the statement came via the UK press).&lt;br/&gt;Thirdly, you could use section 2 of the Defamation Act 1996 with the assistance of a lawyer to get them to stop. Fourthly, an injunction can be applied for via the courts. You final recourse, is to sue - the course most people are aware of. What they may NOT be aware of is how expensive this can get. There is no Aid or public funding for such cases, so unless your pockets are very deep, this must be your last resort, particularly as if you lose, you could end up paying the other side's costs too!&lt;br/&gt;&lt;br/&gt;If it does go to court, the accused has several possible defenses above and beyond the standard defense of 'the statement is true'. They could argue that they never made the statement, or that the statement did no damage, or wasn't even defamatory. The FDA is currently taking independent advice on whether these COX-2 inhibitors, and Celebrex in particular, are safe to remain on sale. Current studies "strongly suggest" the COX-2 inhibitors increase the risk of cardiovascular problems, says Dr. Ned Braunstein, senior director of Merck Research Laboratories.&lt;br/&gt; &lt;br/&gt;A related study from the Cleveland Clinic, published in the Journal of the American Medical Association suggested that the risk of cardiovascular problems (including but not limited to heart attacks, chest pains, stroke, death and blood clots), was over twice as high in the rofecoxib sample than in the control group - a significant find given that the analysis was based on more than 8,000 patients. &lt;br/&gt;In yet another study of over 42,000 participants, 0.52% of patients taking a placebo pill had a heart attack each year compared to 0.74% for patients taking rofecoxib and 0.80% for those taking celecoxib. It's big business too - the drug will do over $6 billion this year alone.&lt;br/&gt;&lt;br/&gt;If you want to know whether you can file a claim against the makers of Celebrex, you need to ask yourself 3 questions. These collaborative businesses can be extremely profitable for all parties involved, but you must ensure on the way in to such an agreement that you have done your due diligence, and that everyone understands exactly what the terms and conditions of the venture are.&lt;br/&gt;&lt;br/&gt;For this reason, we here at www.lawyersbench.com have put together a quick 15 point checklist that will help you determine that you have all the bases covered. This is more important than you may think - after all, mid venture is NOT the time to be arguing about basic terms and conditions!&lt;br/&gt;&lt;br/&gt;1. Identity. Confirm in writing exactly who is involved in the joint venture.&lt;br/&gt;&lt;br/&gt;2. NDA. Do you need a Non Disclosure Agreement to be signed? (typically if one party has a great idea, and the other will be involved with manufacture or promotion).&lt;br/&gt;&lt;br/&gt;3. What are the responsibilities of each party? List in writing what each of you will bring to the 'party'.&lt;br/&gt;&lt;br/&gt;4. Is the enterprise global, or limited in geographical scope?&lt;br/&gt;&lt;br/&gt;5. Are there any legal considerations related to setting up the business (are licenses required from the Government etc)&lt;br/&gt;&lt;br/&gt;6. Structure of the joint venture. Is it a partnership or a Company, or simply a JV contract between 2 parties? If it is a company, who sits on the board and how are they appointed? What classes of shares are in circulation, and under what conditions? How are minority shareholders protected?&lt;br/&gt;&lt;br/&gt;7. Financing. Who supplies the capital for the venture? Is it split in some way between the Joint Venture parties or does it come from an outside source, such as a Bank or venture capital firm? Is the investment in cash or goods or services?&lt;br/&gt;&lt;br/&gt;8. If a Company structure is to be used, what exit provisions are needed? For example, if one side wanted to sell their shares, what conditions apply? Will the other party have first refusal to buy? Can they also demand to be bought out at the same time? How is a shareholding to be valued? Will new incoming shareholders have the same rights and responsibilities as the existing shareholders? Is there a right of veto?&lt;br/&gt;&lt;br/&gt;9. This person understands your side of the situation and it feels good to talk to someone who sees the righteousness of your position. Because it makes you feel better you get into the habit of calling often, almost daily.&lt;br/&gt;&lt;br/&gt;Unless you have more money than you know what to do with you should avoid falling into this trap.&lt;br/&gt;&lt;br/&gt;Remember that every time you call your lawyer the clock is ticking and you are getting billed by the hour. If so, consider the following 10 low-cost marketing tactics before mailing your payment. &lt;p&gt;&lt;p&gt;Event Marketing Tactic #1 -- Is the purchase decision-maker attending the event? Are you certain? Let's say you sell gifts that help increase employee moral and you're considering exhibiting at the National Association of Human Resources annual conference. Is your decision-maker attending? Who attends this event -- HR directors, managers or VPs? Perhaps all, or a small percentage of all three attend. If your decision-maker is a human resources director, then you'll want to make sure the event management company can provide you statistics supporting what percentage of the participants have director-level titles. You need to drill down to your target audience. It's not good enough to say that it's a human resources related event; rather, is the job title you're targeting attending? And if so, what percentage of the attendees hold this title? I recommend at least 50-60% before spending any money. &lt;p&gt;&lt;p&gt;Event Marketing Tactic #2 -- What value-added benefits is the venue [trade show organizer] making available to your business? Will they allow you access to the attendee mailing list so you can implement a premailing promoting your one-day trade show special, as well as the location of your booth? Well organized events, at minimum, provide a list of attendees after the event so exhibitors can follow up. More organized events provide participant contact information BEFORE the event as well as after. Other value-added benefits to inquire about include: being included in participant email distributions promoting the event, as well as an advertisement in the event show guide. &lt;p&gt;&lt;p&gt;Event Marketing Tactic #3 -- Target your event qualifying questions around the "who?," instead of the "how many?." &lt;p&gt;&lt;p&gt;Event Marketing Tactic #4 -- Giveaways should be relevant to your business. Don't give something away for free just for the heck of it. Who cares if you collect 10,000 names because you ran a really cool promotion giving away a free 48" TV. If you're a personal chef, what does a TV have to do with your business? Nothing! [Unless you're Emeril.] Therefore, you've just collected 10,000 NON-qualified leads. Instead, as a personal chef you could try, "Sign up to receive our special report, "How to Live Like the Rich; Tips to Hire an Affordable Personal Chef." One can assume the majority of business cards deposited in your fish bowl have an interest in personal chefs. &lt;p&gt;&lt;p&gt;Event Marketing Tactic #5 -- Location, location, location. If prospects can't see you, then you're wasting your time. Don't be fooled into purchasing a cheap booth at a last-minute special, such as "One booth remaining at 50% off." Chances are no one will be visiting you, since your booth will be tucked away hidden from all eyes. The most ideal locations are found at the entryway to the event and near the pathway to the food stations and restrooms. Corner booths between major walk-throughs are ideal. &lt;p&gt;&lt;p&gt;Event Marketing Tactic #6 -- Some of your most qualified event leads come from networking with other exhibitors. Therefore, secure the exhibitors' list several days before your event. At minimum, you want to know what competitors will be there so you can mystery shop. What's more, you want a plan outlining what exhibitors you intend to approach to either pitch your services, or secure an informal partnership. Prepare your plan and your sales-spin before the big day!  &lt;p&gt;&lt;p&gt;Event Marketing Tactic #7 -- Would you like to participate in more events but don't have the budget? Try approaching complementary exhibitors and ask if they'd be interested in sharing booth space with you. Split the costs. Moreover, you can cover for each other when you need a break. Or, look around for hidden advertising money. If you're a distributor, perhaps you've accrued MDF funds [Market Development Funds] a.k.a. advertising coop money, unbeknownst to you. Many companies will allow resellers to spend MDF funds to pay for event booth fees. &lt;p&gt;&lt;p&gt;Event Marketing Tactic #8 -- Save yourself a lot of time and only approach event passersby who make eye contact. People who don't look at you or your booth are not looking for a reason. Remember, you can only speak to so many people at an event, therefore utilize your precious time wisely. Target those who make eye contact. &lt;p&gt;&lt;p&gt;Event Marketing Tactic #9 -- Make sure you're allowed to display signs, posters, banners, etc. Treat your signs as miniature billboards. No more than six words and make sure it can be read from at least 10' away. &lt;p&gt;&lt;p&gt;Event Marketing Tactic #10 -- Don't pay full price. Remember, almost everything in life is negotiable, including booth fees. Always ask for a price reduction; you'll be pleasantly surprised. Printed advertising and/or booth fees are just a starting point for negotiations. &lt;p&gt;&lt;p&gt;P.S.....Stand up, don't chew gum and try not to talk too much to the other people working your booth. The latter makes you appear unapproachable. Finally, your attire should be slightly better than what you believe attendees will be wearing. With PPC, the advertiser is only charged when a person actually clicks on their link. The amount you actually pay for each click is referred to as the cost-per-click (CPC). I've got to admit, I was pretty leery at first. But since then I've watched the price of certain search engine keywords skyrocket in excess of $10 per click! The big question isn't how much it costs per click but how many clicks does it take to get an acquisition. I've often asked myself, why would so many companies pay that much money for one single, measly, push of the index finger? The answer is simple - it just works!  &lt;p&gt;&lt;p&gt;HOW TO JUSTIFY $10 PER CLICK  &lt;p&gt;&lt;p&gt;The advent of PPC advertising has changed Internet marketing forever. It represents a free market in much the same way as eBay -- controlled by a natural supply and demand relationship. For a keyword phrase such as  debt consolidation,  the top five advertisers are willing to pay cost-per-click charges of $10.01, $10.00, $9.99, $7.00, and $6.97. My first reaction was, something has to be wrong with this picture - it just can't be! So I looked at the  life insurance  phrase, where the top five range from $7.00 to $3.50. Then there are drugs like  Xenical  that range from $6.76 to $6.74. There are many more examples where the cost-per-click exceeds $6.00, $7.00, or $10.00, but you get the point.  &lt;p&gt;&lt;p&gt;The fact of the matter is that while PPC advertising can work quite well - it can also be a flat out failure. When companies are willing to pay more than $5.00 per click, you can be pretty certain that they have figured out how to make it work - otherwise they wouldn't pay those prices.  &lt;p&gt;&lt;p&gt;THE SELECT FEW  &lt;p&gt;&lt;p&gt;I have seen many situations where PPC will work for one company but not for another in the same industry, using the same keywords. Large and small companies will venture in, bid for a week or two, and then drop out -- never to be heard from again. Some will come in, drive the prices way up then drop back out to obscurity. The select few who are successful have found the secret -- a combination of patience, determination, creativity, keyword selection, management and analysis. They do the math, every day - they manage the bids, every day - they look for new keywords, every day - they analyze the results, every day. It takes a great deal of work to figure out how to make PPC advertising deliver results, and the ones who have are now benefiting - every day.  &lt;p&gt;&lt;p&gt;WHAT IS THE COST OF AN ACQUISITION?  &lt;p&gt;&lt;p&gt;In order to determine if your PPC advertising is justified, the first thing you need to understand is your current acquisition cost - what does it now cost to acquire a new customer or order? It's amazing how few companies know what their cost of acquisition is. To keep it simple, take your total advertising expenditures and divide it by the number of new acquisitions (orders or customers), that should give you a rough estimate of your cost per acquisition. Similarly, after running a PPC campaign for a month, you take the total advertising expenditures divided by the number of acquisitions. Of course, these raw numbers are not burdened by administrative costs, but they still provide an apples-versus-apples comparison.  &lt;p&gt;&lt;p&gt;I have managed PPC campaigns where the average cost-per-click was $0.40 and others where it was $5.00. The key question remains: how many clicks does it take to get an acquisition? If the cost for each click is $0.40 and it takes 200 clicks for an acquisition, then the acquisition cost is $80.00. If the cost for each click is $5.00 and it takes 10 clicks, the cost of the acquisition is $50.00.  &lt;p&gt;&lt;p&gt;FINDING THE GAPS  &lt;p&gt;&lt;p&gt;Two key points are crucial: (1) how much does it cost to get an Internet acquisition compared to traditional methods? and (2) what is the value of a new customer? In some businesses a new customer is worth $1,000, while in others, only $10. Typically, the cost-per-click reflects this value, but since the market is still very small, there are significant gaps. Remember the  debt consolidation  keyword phrase above? The difference between the first and last cost-per-click was about 30%. On the other hand, there is literally no difference between cost-per-click rates for the keyword  Xenical . From this you may conclude that there is a lot more competition for  Xenical  then there is for  debt consolidation . The opportunity is between the gaps in the 30% differential example.  &lt;p&gt;&lt;p&gt;The bidding market for keywords is still so new and untapped that it's rare to have more than three competitors fighting over a specific phrase. The gaps in keyword cost-per-click charges such as  debt consolidation  are the norm and represent tremendous opportunities still available in this media. Is it a variation of Pink eye? What is the cure? What is the cause? Why didn't I notice it? Why hadn't I heard of it?  &lt;p&gt;&lt;p&gt;I must be a terrible parent.   &lt;p&gt;&lt;p&gt;My mind goes back the 1960's sitcom 'The Andy Griffith Show' where Ron Howard played the sheriff's young son Opie. This must be the reference for Opie eye, I surmised.   I can't think of a single thing wrong with the adorable little guy's eyes.  &lt;p&gt;&lt;p&gt;I'm not doing well sorting this out.   &lt;p&gt;&lt;p&gt;Then I hear it again, "MOM, Puh-lease take care of my Opie eye.... I can't go to school until you do!"   &lt;p&gt;&lt;p&gt;I decide to go to my child and have a look, perhaps this problem has another name that I'm familiar with.  &lt;p&gt;&lt;p&gt;As I walk up to her, tilt her head toward the light and have a look at her eyes she says in her best teenage I'm-disgusted-with-you tone, "What ARE you doing?"   &lt;p&gt;&lt;p&gt;"Why, I'm looking at your eyes. Which one is bothering you?" I counter in my best Doctor Mom voice.   &lt;p&gt;&lt;p&gt;To which she flatly retorts, "There is nothing wrong with my eyes."   &lt;p&gt;&lt;p&gt;"Then what is all this about you having Opie eye?  I asked now very confused.  &lt;p&gt;&lt;p&gt;She held out an extended hand with a form and a pen. The form that she wanted signed was saying that I have seen and agree with her Spanish teacher's guidelines for (are you ready) an Oral Proficiency Interview.   &lt;p&gt;&lt;p&gt;That's right, O.P.I.   &lt;p&gt;&lt;p&gt;In my best Gomer Pyle voice I loudly declare, "Shazzam! Andy call Aunt Bee to bake a pie, my child don't have Opie eye!"   &lt;p&gt;&lt;p&gt;While we laughed ourselves silly over this early morning incident, it provides a very important lesson in business. Nothing defeats your purpose faster than using acronyms that nobody understands.   &lt;p&gt;&lt;p&gt;I have articles submitted to me for publication every day using acronyms that are meaningless to my readers.... they are not published here. I receive publications everyday, that I can not find the web site because the publication is sent as an acronym and I don't know or can't remember what the acronym stands for.   &lt;p&gt;&lt;p&gt;You can't sell to people that don't know what you're talking about. Therefore, by using acronyms you defeat your purpose and I would advise that you stop P.D.Q. Somatic cell nuclear transfer, as the process is called, involves removing the nucleus from an egg cell and replacing it with the nucleus from a cell of the organism to be cloned.  In the past few years, advances have been made in both human and animal cloning.  Scottish scientists famously cloned a sheep, and British scientists reportedly cloned a human embryo that survived for five days.  Cloning is an extremely controversial subject that forces society to examine the proper limits of man s control over life.   &lt;br/&gt; &lt;br/&gt;In 1997, Scottish scientists famously produced a female sheep,  Dolly,  using the process of reproductive cloning.  Since that time, other scientists have cloned other species, including cows and rabbits.  Most recently, scientists are attempting to reproduce humans through cloning.  President Bush and the Republican party are strongly in opposition to human cloning.  Conservatively tend to believe that life is a creation,  not a commodity,  and that human cloning would have a disastrous impact on the American moral fabric.    In 2002, Congress introduced a bill that would ban human cloning in all forms, imposing a prison sentence and multi-million dollar fine on anyone who attempted human cloning.  (The Ban on Human Cloning Act has yet to be passed.) &lt;br/&gt; &lt;br/&gt;There are practical considerations to the cloning debate, as well.  Most medical experts believe that reproductive human cloning would not produce a health newborn.  Indeed, many scientists predict that cloning would produce harmful abnormalities in a baby s genes.   Many scientists and medical practitioners welcome the advance of cloning for individual human cells.  This process, called therapeutic cloning, adopts the concept of cloning on a micro scale, to help regenerate broken or diseased body parts.  Some politicians, such as Republican Senator Arlen Spector of Pennsylvania, support the idea of therapeutic cloning.   &lt;br/&gt; &lt;br/&gt;Critics of therapeutic cloning argue that the process should be prohibited, no matter how beneficial the practical applications may turn out to be.  The most vocal critics of therapeutic cloning, mainly from religious communities, argue that the destruction of human life, even on cellular level, is a moral offense.  These cells form the beginning of human life, and humans do not have the right to destroy life in order to create life. The officer will approach your car and ask some questions. You will then be asked to perform "field sobriety tests". He may also ask you to breath into a handheld device, technically called a PBT or "preliminary breath test". You will then be arrested. On the way to the police station, you will be asked to submit to a breath or blood test -- and told that if you don't, your driver's license will be suspended.&lt;br/&gt;&lt;br/&gt;What should you do and say during all of this to minimize the risk of a criminal conviction and a license suspension?&lt;br/&gt;&lt;br/&gt;1. Politely decline to answer any questions without an attorney present. It is a cardinal rule in legal circles that only incriminating statements are included in police reports and later testified to in court; statements pointing to innocence are invariably ignored, forgotten or misinterpreted. Bluntly put, whatever you say will almost never help you and can only hurt you.&lt;br/&gt;&lt;br/&gt;2. Decline to take any so-called field sobriety tests. These are theoretically intended to determine impairment, but in fact are designed for failure. In most cases, the officer has already made the decision to arrest and is simply going through the motions and gathering further evidence to bolster his case (he is the one who decides whether you "pass" or "fail"). In almost all states, you are not required to submit to this "testing". It's unlikely that taking it will change the officer's decision to arrest.&lt;br/&gt;&lt;br/&gt;3. Decline to take a "PBT" (preliminary breath test). These handheld units are carried by officers in the field to help decide whether to arrest or not and are notoriously inaccurate. In most states, drivers are not required to submit to these tests (in some they are required if you are under 21). Although most states admit the results of these tests into evidence only to show the presence of alcohol, some permit them to prove the actual blood-alcohol level.&lt;br/&gt;&lt;br/&gt;4. Do you choose blood, breath -- or refuse to take any chemical test? This is a case-by-case decision, and involves a number of considerations. First, although blood tests are subject to many possible errors, they are generally more accurate than so-called "breathalyzers"; if you feel your blood-alcohol level is below .08%, then you might want to choose the blood test. Secondly, whether to submit to testing at all requires some knowledge of your state's laws -- specifically, the consequences of refusing. If the increased criminal penalty and license suspension do not outweigh the possible benefit of depriving the prosecution of blood-alcohol evidence, then you may wish to refuse. Bear in mind that the prosecution will charge you with two offenses, DUI and driving with over .08% blood-alcohol; without a blood or breath test, he cannot prove the .08% charge, and there will be no chemical evidence to corroborate the officer's testimony. You should also realize that in many states chemical evidence of a very high blood-alcohol level, say over .15%, can trigger more severe penalties.&lt;br/&gt;&lt;br/&gt;5. In almost all states, your driver's license will be immediately suspended if either (1) the chemical tests results are .08% or higher, or (2) you refuse to submit to testing. You have a right to a hearing to contest this administrative suspension, and there are many possible defenses, many of them technical in nature. This hearing is usually separate from the criminal proceedings, and involve different procedures and issues than in court; it is not uncommon to lose the criminal case but win the suspension hearing. However, as most motor vehicle departments do not really want the time and expense of providing these hearings, they tend to provide notice of the right buried in fine print given to arrestees. The critical information is the requirement that an actual demand for the hearing must be made by the arrestee -- usually within ten calendar days. If you do not contact the DMV within ten days, you lose all rights to a hearing -- no matter how good a defense you may have. Make sure that you are not exposing your children to unsafe or unhealthy environments when they are with you. Are you involved in another relationship? Has there been more than one? Be very careful about exposing your children to your companion(s). Many judges, professionals, and other parents object to the children being subjected to other relationships too early in that process. More important, if you really want to win at custody, it should be because you want to spend time with your children parenting them. Spending time with someone else when you have the children is a recipe for losing at custody in court.&lt;br/&gt; &lt;br/&gt;3. Do you put down your children's other parent when the children are with you - either consciously or subconsciously? If you do, stop. One sure way to lose at custody is to hurt the children's relationship with the other parent. A judge will consider whether a parent promotes or prevents the other parent's access to and relationship with the children when seeking custody.&lt;br/&gt;&lt;br/&gt;4. Winning at custody requires that you keep a calendar for everything. You need to be able to look back and remember details when it comes time to litigage custody. If you do not know when you had the children, what events you attended, where they were or you were or allof the times your spouse was not timely for a pick up or drop off, you will only hurt your own case. You can keep track on your own calendar, with your own journal, or with a professionally managed calendaring system. Be on time...Be on time....Be on time. Few issues cause as much conflict as a parent who is persistently late in picking up or dropping off children. It irks the judges, it creates arguments with your ex or soon to be ex, and it stresses out the children. So, Be on time.&lt;br/&gt;&lt;br/&gt;6. Be flexible. If the other parent wants to switch weekends or weekdays, do it if you can manage your schedule. When the time comes to tell the judge why you should have custody, you can tell the judge that you are the parent who makes sure that the schedule works. In a close case, this issue makes a difference.&lt;br/&gt;&lt;br/&gt;7. Do not involve your children in the issues that are pending in court or with attorneys. Courts generally are very opposed to the children knowing the details of what are essentially adult issues. Children should be told that both parents love them and want to see them - that's it. The children may see a psychologist and/or an attorney or other professional if the court directs that. The children can talk to those people about your case - you should not be giving them the details, especially if giving the details involves denigrating the other parent.&lt;br/&gt;&lt;br/&gt;8. Winning at custody requires considering one other very important factor: where do the children want to live. It is not a good idea to coach your children on this issue. They will have an opportunity to tell what they want to either the court, their attorney or a psychologist. However, it is a good idea to know what they want. If they want to live with their other parent, you should not spend all of your time and money pursuing custody, unless you believe that it is unsafe or inappopriate for the children to live with that parent.&lt;br/&gt;&lt;br/&gt;9. You do have to be willing to show why your children's other parent should not have custody. So, you need to keep track of whether that parent is on time, involved, and flexible with the schedule. If that parent has any issues that affect custody, such as a history of mental health issues which impact his or her ability to care for the children or alcohol or drug addictions, you need to let the court know. Other issues that can and do affect custody determinations include the number and frequency of romantic relationships and the epxosure of the children to those relationship, the proper supervision of the children, and ensuring that the children attend school and see professionals such as a doctor and dentist when necessary.&lt;br/&gt;&lt;br/&gt;10. Above all else, hire a good attorney and be open and honest with your attorney. Listen to your attorney, not some friend or relative who is sure about what you should do because they had a friend or a relative who got a better deal.
